Welcome to Province Technologies, Inc. ("Province," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Province platform, website, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Eligibility
By using the Platform, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and will comply with all applicable laws and regulations. Province reserves the right to determine, at its sole discretion, whether any user may access or use the Platform and may revoke access to the Platform at any time, for any reason, without notice.

2. Use of the Platform
(a) The Platform facilitates connections between general contractors ("GCs") and subcontractors ("Subcontractors") to enable bidding opportunities.

(b) Province is not a party to any agreements, contracts, or transactions between users of the Platform. Province does not endorse, guarantee, or assume any responsibility for the quality, accuracy, or reliability of work or services provided by users.

(c) Users acknowledge that being awarded a bid or accepting a bid on the Platform does not create a binding contractual agreement between the parties involved. Any such agreements must be separately negotiated and executed outside the Platform.

3. User Responsibilities
(a) Users are solely responsible for the content they provide on the Platform, including bids, proposals, and other communications. Users agree not to upload or share any content that is false, misleading, defamatory, obscene, unlawful, or infringes on the rights of others.

(b) Users must not use the Platform for any fraudulent, illegal, or unauthorized purposes.

(c) Users must maintain the confidentiality of their account information and promptly notify Province of any unauthorized access or use.

4. Disclaimers
(a) The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

(b) Province does not guarantee that the Platform will be uninterrupted, secure, or error-free. Users access and use the Platform at their own risk.

5. Limitation of Liability
To the fullest extent permitted by law, Province shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

(a) Your access to or use of or inability to access or use the Platform;

(b) Any conduct or content of any third party on the Platform;

(c) Any unauthorized access, use, or alteration of your content or account.

6. Indemnification
You agree to indemnify, defend, and hold harmless Province and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

7. Termination
(a) Province reserves the right to suspend or terminate your access to the Platform at any time, for any reason, including but not limited to your violation of these Terms.

(b) Upon termination, your right to use the Platform will immediately cease, and all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Intellectual Property
(a) All content and materials on the Platform, including but not limited to text, graphics, logos, images, software, and trademarks, are the property of Province or its licensors and are protected by copyright and other intellectual property laws.

(b) Users may not copy, modify, distribute, sell, or lease any part of the Platform without prior written consent from Province.

9. Governing Law and Dispute Resolution
(a) These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles.

(b) Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration in Kootenai County, Idaho, in accordance with the rules of the American Arbitration Association. Users agree to waive any right to a jury trial or to participate in a class action.

10. Modifications to the Terms
Province reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms.

11. Miscellaneous
(a) These Terms constitute the entire agreement between you and Province regarding the use of the Platform and supersede any prior agreements.

(b) If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

(c) Province’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
